(stock code: UBXG) is a Cayman Islands–incorporated holding company dedicated to providing artificial intelligence–driven and digital solutions for the insurance and related industries. Its ordinary shares are publicly traded on the U.S. capital markets. To support its future financing arrangements and capital markets planning, U-BX submitted a Form F-3 Registration Statement (Shelf Registration Statement) to the U.S. Securities and Exchange Commission (SEC) and successfully obtained a Notice of Effectiveness issued by the SEC on December 15, 2025, thereby rendering the registration statement effective.

The effectiveness of this Form F-3 registration statement signifies that, in compliance with U.S. securities laws and applicable listing rules, U-BX has obtained the qualification to conduct flexible securities offerings by registration in the future.
